Terms & conditions
Below are the conditions that govern all work carried out by JMWEB. By approving a quote or paying a deposit, you accept them in full.
01 — Quotes & VAT
• All quoted prices exclude VAT (where applicable). • Quotes remain valid for 30 days from issue.
02 — Scope, estimates & contingency
Quotes are based on the anticipated creative requirements, timelines, client cooperation and content delivery. If requirements change or scope grows, additional fees may apply. A 20% contingency for unforeseen work is recommended. Late payment may incur interest under Spanish Law 3/2004 on late payment in commercial transactions.
03 — Deposits & project start
Work begins once the client provides: • Written approval of the quote (email is fine). • A 50% deposit (unless agreed otherwise). For phased projects, each phase requires its own deposit before continuing.
04 — Final payments & late fees
• The remaining balance is invoiced on completion of the deliverables. • Go-live or final-file delivery only happens after full payment. Overdue invoices may incur statutory interest, fixed-sum compensation and a further 8% if not paid within 72 hours of a payment reminder.
05 — Phased billing
If the project is billed in stages (e.g. 50% / 25% / 25%), each invoice must be paid before the next phase starts. JMWEB may adjust the stage structure at its discretion.
06 — Long timelines & partial billing
If a project exceeds the estimated timeline or extends beyond 12 weeks from quote approval, JMWEB may invoice 25% of the outstanding balance. The final 25% is invoiced at project close.
07 — Third-party costs
Print, mailing, fulfilment or other external services require at least 75% upfront. JMWEB won't proceed without proof of payment.
08 — Payment terms
Unless agreed otherwise, invoices are due within 72 hours. Late payment may delay project timelines (see clauses 03, 04, 05 and 07).
09 — Project timelines
Work typically begins within 10 working days of the deposit. Estimates depend on client cooperation (content, feedback, approvals). JMWEB is not liable for delays caused by the client or force majeure.
10 — Creative rounds
Quotes include two creative routes per brief. A third may be provided if needed. If after three rounds no direction is agreed, JMWEB may terminate the project without refund of deposits or payments.
11 — Amends
Quotes include up to three rounds of amends. Additional amends may incur extra charges (always flagged in advance).
12 — Sign-off
Written approval is required at all stages, including before printing or launching a site. Changes after sign-off may incur additional charges.
13 — Meetings
Fees include occasional meetings of reasonable length. Additional or very long meetings may be billed with prior notice.
14 — Disbursements
Standard charges apply for expected costs (print proofs, courier, local travel). Other expenses are passed on with notice.
15 — Exclusions
Quotes don't include VAT, premium stock imagery, translations, hosting, backups, paid plugins, talent (models, voices), printing, payment processor fees or third-party costs unless stated. These are charged at cost plus a small management fee.
16 — Client-supplied content
Typically the client supplies copy and imagery. JMWEB can provide copywriting, image sourcing or additional creative services at extra cost. Standard stock images start at €45 + VAT.
17 — Recommended suppliers
JMWEB recommends print and production partners to maintain quality. No liability is accepted for issues arising from suppliers chosen by the client.
18 — External specialists
JMWEB may collaborate with trusted specialists (photographers, illustrators, devs, filmmakers, etc.). Costs are passed on to the client with notice.
19 — Colour variation
Colour can vary between screens, substrates and print processes. JMWEB is not responsible for discrepancies outside reasonable control.
20 — Intellectual property
All artwork, designs and code remain JMWEB's property until full payment. On payment, IP for the approved deliverables transfers to the client, excluding unused concepts and working files. JMWEB may show the completed work in its portfolio unless agreed otherwise.
21 — Copyright & trademark
JMWEB won't knowingly infringe copyright. Final verification and trademark registration are the client's responsibility.
22 — Working files
Final deliverables (PDFs, exports, compiled code) are handed over at close. Internal editable files remain JMWEB's property unless agreed otherwise.
23 — Confidentiality
JMWEB will keep client information confidential and only use it to deliver the contracted services.
24 — Indemnity & liability
The client indemnifies JMWEB against losses or claims arising from their materials or instructions. JMWEB is not liable for third-party delays or failures.
25 — Defects & support
Any issue must be reported in writing within 30 days of the final invoice. Defects confirmed within scope are resolved reasonably. Out-of-scope items are billed separately.
26 — Web projects: ownership & code
On payment, the client owns the final design outputs. The underlying software, frameworks, CMS and proprietary code remain the property of JMWEB or its licensors.
27 — Hosting
JMWEB may offer hosting but doesn't guarantee 100% uptime. CMS / e-commerce sites require JMWEB's approved hosting to receive support.
28 — Attribution
Unless agreed otherwise, a small credit line (“Design by JMWEB”) may appear in the footer of the delivered project.
29 — General
These terms replace any previous versions. JMWEB may update them at any time. Approving a quote or paying a deposit constitutes acceptance. Subject to Spanish law; disputes are resolved before the courts of Madrid, Spain.
